Introduction

These Terms of Service (“Terms”) govern your use of Sparetime LTD services, a suite of digital services provided under Sparetime Digital (the “Services”).

Proprietary Rights

Sparetime LTD does not grant you any intellectual property rights in the Services that are not specifically stated in our Contract or agreement. These Terms do not provide the right to use any of Sparetime’s copyrights, trade names, trademarks, service marks, logos, domain names, or other distinctive brand features or else agreed otherwise.

As a tech R&D innovations entity, Sparetime owns to use and/or leise it’s IP in the form of code, software, consultation and other services thereof to You [“the Company”] and other clients/users or else otherwise stated within a mutually exclusive binding document..

Sparetime LTD holds rights to showcase Content which may include project name, methodologies, analysis and other details [which do not constitute the Company’s Intellectual Property or Confidential Information] as a whitepaper, case study, online or offline resource or promotional material.

By using our Services, you grant us worldwide, non-exclusive rights (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish and display such Content in any and all media or distribution methods (now known or later developed). You agree that this license includes the right for Sparetime LTD to provide, promote, and improve the Services provided and further develop on the quality and performance of the services we deliver through data analysis and internal reviews.

Feedback and Reviews

Company agrees to provide Sparetime LTD with feedback during or after the project lifespan (not exceeding an initial 6 months period). Feedback can be in the form of online reviews and ratings, digitally produced or hand written feedback. Sparetime reserves the rights to share, display and store feedback for branding, promotional and analytical purposes.

Service-related communications

To provide you with our services, we sometimes send you service announcements and other information. To learn more about how we communicate with you, see Sparetime Digital’s Privacy Policy.

If you choose to give us feedback or we receive feedback from customers/partners in regards to a project, such as suggestions to improve our services, we may act on that feedback without obligation to you.

Indemnification

You agree to defend, indemnify and hold harmless Sparetime LTD, its contractors, contributors, and their respective directors and employees (“Indemnified Parties”) from and against any and all third party claims and expenses, including legal fees, arising out of or related to your use of the Services.

Payment, Refunds, and Plan Changes

If you are using a free version of one of our Services, it is really free: we do not ask you for your credit card and — just like for customers who pay for our Services — we do not sell your data.

For paid Services that offer a free trial, we explain the length of trial when you sign up. After the trial period, you need to pay in advance to keep using the Service. If you do not pay, we will freeze your access to our services and it will be inaccessible until you make payment.

If you are upgrading from a free plan to a paid plan, we will send you an invoice immediately and your billing cycle starts on the day of upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.
